Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of nexyralab.com (the “Site”) and any purchase you make from it. Please read them carefully. By placing an order, you confirm that you accept these Terms.

1. About us

The Site is operated by Nexyra Research Ltd(“Nexyra”, “we”, “us”, “our”), a company registered in England & Wales under company number 17057743, with its registered office at 124–128 City Road, London EC1V 2NX, United Kingdom. You can contact us at our support team.

2. Definitions

“Products” means the research compounds and related items listed on the Site. “Order” means your order for Products. “Contract” means the contract between you and us for the sale of Products, formed in accordance with clause 6. “Consumer” means an individual acting wholly or mainly outside their trade, business, craft or profession.

3. These Terms

We may update these Terms from time to time. The version in force is the one published on the Site when you place your Order. We recommend you save or print a copy when ordering.

4. Research use only — important

All Products are supplied strictly for in vitro laboratory research and analytical use by qualified researchers and professionals. Products are not authorised medicines, are not food, supplements, or cosmetics, and are not for human or veterinary use, consumption, ingestion, injection, or self-administration.

We make no medicinal, therapeutic, diagnostic, or health claims about any Product. Nothing on the Site is medical, clinical, or dosing advice, and nothing on the Site should be read as suggesting that any Product is safe or effective for use in people or animals. Any research-planning tools provided on the Site (such as reconstitution calculators or reference guides) are for laboratory research planning only and are not advice of any kind.

By ordering, you acknowledge and accept this research-use-only basis of supply.

5. Eligibility and your warranties

By placing an Order you warrant that:

  • you are at least 18 years old;
  • you are a bona fide researcher, or are purchasing on behalf of a research organisation, laboratory, or institution, and are acquiring Products solely for lawful research use;
  • you will not use, resell, supply, or distribute any Product for human or animal consumption or for any medicinal purpose, and will not represent that any Product is suitable for such use;
  • you are competent and qualified to handle, store, and dispose of research compounds safely and lawfully; and
  • you are responsible for ensuring that your purchase, possession, and intended research use of the Products is lawful in your jurisdiction.

6. How a contract is formed

Placing an Order is an offer by you to buy the Products. Our acceptance takes place when we dispatch the Products (or send a dispatch confirmation), at which point the Contract comes into existence. If we cannot accept your Order (for example, the Product is unavailable, we identify a pricing error, or we suspect the Order is for a prohibited use under clause 5 or 11), we will tell you and will not charge you, or will refund any payment taken.

7. Prices and payment

Prices are shown on the Site in the currency selected and are inclusive of UK VAT where applicable. Delivery charges are shown separately before you confirm your Order. The total payable, including delivery, is shown at checkout before payment.

We accept payment by Fena (Pay by Bank / open banking) only. We do not accept card payments. When you pay, you authorise the payment securely within your own banking app; no card details are entered or stored by us. Your Order will not be dispatched until payment has been received in full.

We try to ensure all prices are accurate, but errors can occur. If we discover an error in the price of Products you have ordered, we will contact you to ask whether you wish to continue at the correct price or cancel the Order.

8. Delivery

Delivery times, methods, costs, and coverage are set out in our Shipping Policy, which forms part of these Terms. Risk in the Products passes to you on delivery.

9. Cancellation, returns and refunds

Your cancellation, return, and refund rights — including the statutory 14-day cooling-off period for Consumers and the limits that apply to sealed Products that have been opened — are set out in our Returns & Refunds Policy, which forms part of these Terms. Nothing in these Terms removes or reduces your statutory rights.

10. Your statutory rights as a Consumer

If you are a Consumer, you have legal rights under the Consumer Rights Act 2015 (Products must be as described, of satisfactory quality, and fit for purpose) and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Nothing in these Terms affects those rights, and any term that attempts to exclude them does not apply.

11. Acceptable use and prohibited conduct

You must not use the Site or any Product:

  • for human or veterinary consumption, treatment, or self-administration;
  • to make or imply any medicinal, therapeutic, or health claim about a Product;
  • in breach of any applicable law or regulation, including the Human Medicines Regulations 2012;
  • to resell or supply Products to any person you believe intends human or animal use.

We may refuse, cancel, or restrict any Order, and may decline to supply any person, where we reasonably suspect a breach of this clause.

12. Intellectual property

All content on the Site (text, branding, logos, images, layout, and tools) is owned by or licensed to Nexyra Research Ltd and is protected by intellectual property laws. You may not copy, reproduce, or reuse it without our written permission.

13. Our liability

Nothing in these Terms limits or excludes our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded under English law (including a Consumer’s statutory rights).

Subject to the above: Products are supplied for research use only and we give no warranty as to their suitability for any particular purpose beyond the specifications stated. To the fullest extent permitted by law, we are not liable for any loss or damage arising from any use of a Product otherwise than for lawful in vitro research, or for any use in or on humans or animals, all of which is prohibited under these Terms and undertaken entirely at the user’s own risk.

14. Indemnity

If you are not a Consumer, you agree to indemnify us against any loss, claim, or liability arising from your breach of these Terms, including any use of a Product contrary to its research-use-only basis of supply.

15. Events outside our control

We are not responsible for delays or failures in performance caused by events outside our reasonable control (for example, carrier delays, supply interruptions, or extreme weather). We will let you know and, where appropriate, extend delivery times or allow you to cancel.

16. Privacy

We process your personal data in accordance with our Privacy Policy, which explains what we collect, why, and your rights.

17. Governing law and jurisdiction

These Terms and any Contract are governed by the law of England & Wales. If you are a Consumer, you may bring proceedings in the courts of the part of the UK in which you live; otherwise, the courts of England & Wales have exclusive jurisdiction.

All Products sold by Nexyra Research Ltd are intended solely for in vitro research and laboratory use by qualified researchers. They are not approved for human or veterinary use. By purchasing, you confirm you are 18 or over and buying exclusively for lawful research purposes.
