These Terms and Conditions of Sale ("Terms") govern all purchases of products and services
from Nexyra Research Ltd. ("Nexyra", "we", "us", or "our"), a company registered in England
and Wales. By placing an order with us, accessing our website, or otherwise purchasing our
products, you ("Customer", "you", or "your") agree to be bound by these Terms in full.
Please read these Terms carefully before placing any order. If you do not agree to these Terms,
you must not purchase our products or use our services. We recommend that you save or print
a copy of these Terms for your records.

ALL PRODUCTS SOLD BY NEXYRA RESEARCH LTD. ARE SUPPLIED STRICTLY FOR
LEGITIMATE IN VITRO AND LABORATORY RESEARCH PURPOSES ONLY.
By placing an order, you expressly represent, warrant, and confirm that:
• You are a qualified researcher, scientist, or professional operating within a legitimate
research context.
• You are purchasing the products for lawful, scientific research purposes only, and not for
human or veterinary consumption, therapeutic use, clinical application, or any other
purpose.
• You are of legal age in your jurisdiction and are legally entitled to purchase research
chemicals.
• You will handle, store, use, and dispose of all products in accordance with applicable
laws, regulations, and good laboratory practice (GLP) standards.
• You will not resell or redistribute our products to any third party for end use outside of a
legitimate research environment.

• You understand that the safety and efficacy of our products for any use other than in
vitro research have not been established.
Nexyra Research Ltd. reserves the right to refuse any order where we have reasonable grounds
to believe that the stated or intended use does not comply with the above. Acceptance of an
order does not constitute an endorsement of any particular use of the product.
3. Eligibility & Account Registration
3.1 Eligibility
Our products may only be purchased by individuals aged 18 or over who are acting in a
professional or research capacity. By placing an order, you confirm that you meet these
eligibility requirements. We reserve the right to request evidence of your professional or
institutional status at any time.
3.2 Account Registration
You may be required to create an account to place an order. You are responsible for:
• Ensuring that all registration information you provide is accurate, current, and complete.
• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorised use of your account at
support@nexyraresearch.com.
We reserve the right to suspend or terminate accounts that provide false information, violate
these Terms, or are used in a manner that we reasonably consider harmful or unlawful.
4. Products & Product Information
4.1 Product Descriptions
We make every effort to ensure that product descriptions, images, specifications, purity data,
and certificates of analysis (CoAs) published on our website are accurate and up to date.
However, we do not warrant that product descriptions or other website content is entirely errorfree, complete, or current. Product specifications may be subject to minor variation between
batches within acceptable industry tolerances.
4.2 Certificates of Analysis
A certificate of analysis (CoA) is available for all products we sell. CoAs are batch-specific
documents and reflect the results of third-party or in-house analytical testing of the relevant

batch. You are encouraged to review the CoA for the batch you receive. If the purity or
specification materially differs from that advertised, please refer to our Return & Refund Policy.
4.3 Product Availability
All products are offered subject to availability. We reserve the right to withdraw any product from
sale at any time without notice. If a product becomes unavailable after you have placed an
order, we will notify you as soon as reasonably practicable and offer you either a substitute
product, a store credit, or a full refund.
4.4 Not for Resale
Products purchased from Nexyra Research Ltd. are for the Customer's own research use only.
Resale, redistribution, or sublicensing of our products to any third party is strictly prohibited
without our prior written consent.
5. Ordering & Contract Formation
5.1 Placing an Order
By submitting an order through our website or any other sales channel, you are making an offer
to purchase the specified products on these Terms. All orders are subject to acceptance by
Nexyra Research Ltd.
5.2 Order Confirmation
An order confirmation email sent to your registered email address constitutes our
acknowledgement that we have received your order. It does not constitute our acceptance of
your order. A binding contract between you and Nexyra Research Ltd. is formed only when we
dispatch your order and send you a shipping confirmation email.
5.3 Right to Refuse Orders
We reserve the right to refuse, cancel, or limit any order at our sole discretion, including but not
limited to orders that:
• We have reason to believe are placed for a prohibited or unlawful purpose.
• Cannot be fulfilled due to stock unavailability or logistical constraints.
• Are placed using fraudulent or stolen payment information.
• Exceed reasonable order quantities for a research customer.
• Are from jurisdictions where import or possession of the ordered products is restricted or
prohibited.

Where an order is refused after payment has been taken, we will issue a full refund within 7
business days.
6. Pricing & Payment
6.1 Pricing
All prices displayed on our website are in GBP (£) and are exclusive of VAT unless otherwise
stated. Applicable taxes, duties, and shipping costs will be calculated and displayed at checkout
before you finalise your order. We reserve the right to change prices at any time without notice.
Prices confirmed at the time of checkout will apply to your order.
6.2 Payment Methods

credit terms unless separately agreed in writing.
6.3 Failed Payments
If your payment is declined or a chargeback is raised without valid justification, we reserve the

In the event that a product is listed at an incorrect price due to a typographical or system error,
we are not obligated to supply that product at the incorrect price. We will notify you of any
pricing error as soon as reasonably practicable and give you the option to proceed at the correct
price or cancel your order for a full refund.
7. Shipping & Delivery
7.1 Dispatch
We aim to dispatch orders within [2–3] business days of payment confirmation, subject to stock
availability and any regulatory requirements applicable to the destination. Orders placed after
[2:00 PM GMT] on a business day will be processed the following business day.
7.2 Delivery Timeframes
Estimated delivery timeframes are provided as a guide only and are not guaranteed. Delivery
times may vary depending on your location, carrier capacity, and any customs or border control

delays for international orders. Nexyra Research Ltd. is not responsible for delays caused by
carriers, customs authorities, or other events outside our control.
7.3 Shipping Costs
Shipping costs are calculated based on order weight, destination, and selected shipping
method, and will be displayed at checkout before you complete your purchase. Risk of loss and
title to the products passes to you upon handover of the products to the carrier.
7.4 International Orders
It is your sole responsibility to ensure that the products you are ordering may lawfully be
imported into your country of destination. Nexyra Research Ltd. accepts no liability for orders
seized, delayed, or refused by customs or regulatory authorities in your jurisdiction. Any
applicable import duties, taxes, or customs fees are payable by you.
7.5 Failed Deliveries
If a delivery attempt fails due to an incorrect address provided by you, your absence, or refusal
to accept the package, any redelivery or return costs will be charged to you. If a package is
returned to us as undeliverable, we will contact you to arrange redelivery at your cost or issue a
refund less any applicable shipping and handling charges.
8. Returns, Refunds & Replacements
All returns, refunds, and replacements are governed by our Return & Refund Policy, which
forms part of these Terms and is incorporated by reference. Please review our Return & Refund
Policy carefully before placing an order. In the event of any conflict between these Terms and
the Return & Refund Policy on the subject of returns, the Return & Refund Policy shall prevail.
9. Intellectual Property

descriptions, images, logos, trademarks, data, and the selection and arrangement thereof, is the
property of Nexyra Research Ltd. or its licensors and is protected by applicable intellectual
property laws.
You may not reproduce, distribute, modify, publicly display, or create derivative works from any
content on our website without our prior written consent, except as necessary for your own
personal, non-commercial reference in connection with a purchase from us.

10. Regulatory Compliance & Prohibited Uses
10.1 Customer Responsibility
You are solely responsible for determining and complying with all applicable laws and
regulations in your jurisdiction relating to the purchase, import, possession, storage, use, and
disposal of our products. This includes but is not limited to controlled substance regulations,
chemical safety regulations, and any sector-specific research regulations.
10.2 Prohibited Uses
You must not use our products for any of the following:
• Human or veterinary consumption, ingestion, injection, or any form of biological
administration.
• Clinical trials, therapeutic applications, or medical treatment of any kind.
• Any purpose that is illegal, harmful, or in violation of applicable laws or regulations.
• Resale or commercial exploitation outside of an approved research context.
• Any application involving minors.
Breach of this clause constitutes a material breach of these Terms and may result in immediate
termination of your account, refusal of future orders, and reporting to relevant regulatory
authorities where we are legally obliged or entitled to do so.
11. Disclaimers & Limitation of Liability
11.1 No Medical or Scientific Advice
Nothing on our website or in any communications from Nexyra Research Ltd. constitutes
medical, therapeutic, scientific, or regulatory advice. We are a supplier of research-grade
chemicals and do not endorse or recommend any particular research application of our
products.
11.2 Disclaimer of Warranties
To the fullest extent permitted by applicable law, our products are supplied 'as is' and 'as
available' for research purposes. We make no representations or warranties, express or implied,
as to the fitness of our products for any particular research application, their efficacy, safety, or
suitability for any purpose other than the general laboratory research use for which they are
described.
11.3 Limitation of Liability
To the maximum extent permitted by applicable law, Nexyra Research Ltd. shall not be liable
for:

• Any indirect, consequential, incidental, special, or punitive losses or damages.
• Loss of profits, revenue, data, goodwill, research outcomes, or anticipated savings.
• Any losses arising from your use or misuse of our products outside of their intended in
vitro research context.
• Any losses caused by events outside our reasonable control (see Clause 14 — Force
Majeure).
Our total aggregate liability to you for any claim arising under or in connection with these Terms
(whether in contract, tort, including negligence, breach of statutory duty, or otherwise) shall not
exceed the total amount paid by you for the specific order giving rise to the claim.
11.4 Statutory Rights
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our
negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded
or limited under applicable law. Your statutory rights are not affected by these Terms.
12. Indemnification
You agree to indemnify, defend, and hold harmless Nexyra Research Ltd., its directors, officers,
employees, agents, and suppliers from and against any and all claims, damages, losses, costs
(including reasonable legal fees), penalties, or liabilities arising out of or in connection with:
• Your breach of these Terms or any applicable law or regulation.
• Your misuse of our products, including any use outside of an in vitro research context.
• Any claim brought by a third party arising from your use or misuse of our products.
• Any inaccurate information provided to us in connection with your order or account.
13. Privacy & Data Protection

14. Force Majeure
Nexyra Research Ltd. shall not be liable for any failure or delay in performing our obligations
under these Terms where such failure or delay results from events beyond our reasonable
control, including but not limited to acts of God, natural disasters, pandemic, war, civil unrest,
government action or regulation, industrial disputes, failure of third-party suppliers or carriers,
cyberattacks, or infrastructure failures.

In such circumstances, we will notify you as soon as reasonably practicable and use reasonable
endeavours to resume performance. If the delay or failure continues for more than 30 days,
either party may terminate the affected order by written notice, and we will refund any amounts
paid for undelivered products.
15. Amendments to These Terms
We reserve the right to amend, update, or replace these Terms at any time. Any changes will be
posted on our website with a revised effective date. For significant changes, we will take
reasonable steps to notify registered customers. Your continued use of our website or services
after any changes take effect constitutes your acceptance of the updated Terms.
The Terms that apply to any given order are those in effect at the time the order is placed. We

16. Entire Agreement & Severability
These Terms, together with our Privacy Policy and Return & Refund Policy, constitute the entire
agreement between you and Nexyra Research Ltd. in relation to your purchase of products and
supersede all prior representations, negotiations, or agreements.
If any provision of these Terms is found by a court or other competent authority to be invalid,
unlawful, or unenforceable, that provision shall be severed from the remainder of the Terms,
which shall continue in full force and effect.

No failure or delay by Nexyra Research Ltd. to exercise any right or remedy under these Terms
shall constitute a waiver of that right or remedy. A waiver of any breach of these Terms shall not
be construed as a waiver of any subsequent breach.
18. Governing Law & Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including noncontractual disputes or claims) shall be governed by and construed in accordance with the laws
of England and Wales.
Each party irrevocably agrees that the courts of England and Wales shall have exclusive
jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their
subject matter or formation (including non-contractual disputes or claims), except where
mandatory consumer protection laws in your jurisdiction provide otherwise.
